Welcome to Velia. Thank you for choosing Velia, a product and brand developed by Senbiosys SA, a Swiss-based company specializing in advanced wearable health technology. This document sets forth the terms and conditions governing your access to and use of the Velia website, mobile application, wearable devices, and related services (collectively, the "Services"). By engaging with any part of our Services, you agree to be legally bound by these Terms of Use and our Privacy Policy. If you do not agree, please refrain from using our Services. 

These Terms constitute a binding legal agreement between you and Senbiosys SA ("Velia," "we," "us," or "our"). "You" refers to the individual using our Services. 

1. License and Eligibility  

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in accordance with these Terms and our Privacy Policy. You must be at least 18 years old or the legal age of majority in your jurisdiction and have the capacity to enter into binding contracts. 

2. User Conduct

You agree to use the Services lawfully and responsibly. Specifically, you shall not: 

  • Copy, modify, decompile, reverse-engineer, or disassemble any aspect of the Services;
  • Use the Services in any way that violates applicable law or infringes on third-party rights;
  • Interfere with, disrupt, or compromise the integrity or performance of our systems;
  • Deploy any automated systems or scraping technologies without written consent. 

3. Account, Membership & Payments

Some features may require registration and subscription. You agree to: 

  • Provide accurate and complete account and billing information;
  • Maintain confidentiality of your credentials;
  • Accept recurring charges for paid memberships, where applicable;
  • Allow us to update prices with prior notice via email or in-app communication. 

If you subscribe through third-party platforms (e.g., Apple App Store or Google Play), those platforms' terms and billing cycles apply. 

Free trials, if offered, will automatically convert to a paid subscription unless canceled prior to expiration. 

We reserve the right to suspend or terminate access to paid Services in case of failed payments or suspected misuse.

4. Velia Terms of Delivery

Velia will deliver the Products under a DAP Incoterm with title transferring to the buyer immediately prior to importation. Velia pays for the carriage to the named place outside the country of the buyer, but is not responsible for importing the Products into the country of the buyer and delivering the Products to the named place in the country of the buyer. The buyer is responsible for all costs related to the import of the Products. Velia will not facilitate the collection of any taxes on the buyer’s behalf.

5. Returns, Cancellations & Refunds

Where required by applicable consumer protection law, you may be entitled to return your product within a legally defined period (e.g., 14 days in the EU or UK). Outside of jurisdictions where such a right is mandated, we do not provide a general return option. To be eligible for a return, the product must be unused, undamaged, and returned in its original, sealed packaging. Products that have been opened, worn, paired with the app, or otherwise used are not eligible for return. Acceptable reasons for return include: receipt of the wrong item, damaged item upon delivery, or a defective product confirmed upon initial use. Change-of-mind returns are accepted only where required by applicable law and only if the product remains unopened and unused. We do not accept returns for cosmetic preferences, opened products, or issues arising from misuse or unauthorized use. Returns will not be accepted for reasons related to device compatibility, personal preferences (e.g., size, fit, color), or subjective expectations unless the product is defective under our warranty policy 

If a return is permitted, return shipping costs are your responsibility unless local law states otherwise. Refunds, where applicable, will be issued to the original payment method, minus shipping and handling fees. Refunds are issued only after we have received and inspected the returned item and confirmed its eligibility. We will notify you once the return is approved or rejected.  

Outside of jurisdictions where such a right is mandated, we do not provide a general return option.  

Products purchased from unauthorized resellers, second-hand sellers, or third-party marketplaces not listed on our website are not eligible for return or refund. Only items purchased directly from our official website or authorized sales partners are covered by our return policy.

Subscription cancellations can be made at any time through your account settings or via support. Cancellations will take effect at the end of the current billing period. We do not offer prorated refunds. If you request a refund, you must cancel your subscription to avoid further charges. 

6. Changes to Services

We may enhance, modify, suspend, or discontinue any part of the Services at any time. Where changes materially impact your usage, we will provide prior notice. Your continued use following such updates constitutes acceptance. 

7. Device Compatibility, Software & Updates

The Velia ring and Services require compatible hardware and a stable internet connection. We may provide software updates automatically. By using the Services, you consent to receiving such updates. We do not guarantee compatibility with all device models or operating systems. 

8. Intellectual Property

All content, software, algorithms, and designs associated with the Services, including the Velia name and logo, are the intellectual property of Senbiosys SA or its licensors. You may not use, reproduce, distribute, or alter any of our assets without explicit authorization 

9. Third-Party Services 

The Services may integrate with third-party platforms or tools. Your use of such services is subject to the terms and policies of those providers. We are not responsible for the availability, content, or practices of third-party services. 

10. Export Compliance 

You agree to comply with all applicable export laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country or territory subject to sanctions under Swiss, EU, UK, or U.S. law. 

11. Privacy and Data

Our Privacy Policy explains how we collect, process, and store your data, including data transfers to partners or processors located outside Switzerland. By using our Services, you consent to these practices. We comply with Swiss data protection laws, the EU General Data Protection Regulation (GDPR), UK GDPR, and Canada's PIPEDA as applicable.

12. Warranty Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or compatible with all devices. 

Velia products are not certified medical devices and must not be relied upon for medical diagnosis or treatment. Always consult a qualified healthcare provider for health concerns.

13. Limited Warranty

We warrant the Velia ring and charger against material defects in workmanship and materials under normal use for the following periods from the date of original purchase: 

  • Switzerland & EU: Two (2) years minimum (per statutory law);
  • United States & Canada: One (1) year;
  • United Kingdom: Two (2) years (per UK consumer law);
  • Other jurisdictions: As required by local law. 

If a product is replaced or repaired under warranty, the replacement or repaired unit is covered for the greater of 90 days or the remainder of the original warranty period. 

This limited warranty excludes damage from misuse, accidents, unauthorized modifications, or environmental conditions (e.g., extreme temperatures, humidity, exposure to liquids beyond rated specifications). It also does not cover normal wear and tear, including but not limited to battery degradation over time, cosmetic damage, or performance decline due to regular usage. 

For clarity, "battery degradation" refers to the natural and expected decline in battery capacity over time due to charging cycles, environmental exposure, and usage patterns. This form of wear is not considered a defect. Only in cases of abnormal or excessive degradation during the warranty period, as determined by Velia at its sole discretion, may warranty claims be reviewed. 

This limited warranty applies only to the original purchaser of the product and is non-transferable. All warranty claims are subject to confirmation of the reported defect by Velia. We reserve the right to request diagnostic information, photos, or return of the product for inspection. Valid proof of purchase from an authorized sales channel is required to process any warranty claim. 

Products obtained through unauthorized resellers, third-party marketplaces not listed on our website, or second-hand sales are not covered by this warranty. We reserve the right to request proof of purchase to confirm eligibility. 

Warranty remedies are limited to repair, replacement, or refund at our discretion. Any replacement product may be new or refurbished and will be functionally equivalent to the original product. Replaced products or parts become the property of Velia. 

Shipping costs associated with returning a product for warranty service are your responsibility, unless otherwise required by applicable law. In addition, original shipping and handling charges paid at the time of purchase are non-refundable under any circumstances, including in the case of valid warranty claims. 

To initiate a warranty claim, you must contact our customer support team through our official website or via support@veliaring.com. We do not process warranty requests submitted through unauthorized channels. 

14. Limitation of Liability

To the maximum extent permitted by law, Senbiosys SA shall not be liable for: 

  • Loss of profits or revenues;
  • Loss or corruption of data;
  • Loss of goodwill or anticipated savings;
  • Personal or emotional distress;
  • Any indirect, incidental, punitive, special, or consequential damages. 

Our total liability shall not exceed USD 100. 

Nothing in these Terms excludes liability that cannot be lawfully limited, including death, personal injury, or gross negligence. 

15. Indemnification

You agree to indemnify and hold harmless Senbiosys SA, its affiliates, directors, and employees from any third-party claims, losses, or liabilities arising from your breach of these Terms or misuse of the Services. 

16. Termination 

You may discontinue use at any time. We may suspend or terminate your access without prior notice if you breach these Terms. 

Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination. 

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to its conflict of law principles. 

Any dispute shall be resolved by final and binding arbitration seated in Lausanne, Switzerland, conducted in English, in accordance with the Swiss Rules of International Arbitration. However, either party may seek injunctive or equitable relief in any competent jurisdiction for enforcement of intellectual property or confidentiality obligations. 

Before initiating arbitration, you agree to first contact us at legal@veliaring.com and attempt informal resolution within 30 days. 

CLASS ACTION WAIVER: You agree that any claims must be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Class actions and class arbitrations are not permitted. 

Jurisdictional Exception: If you are a resident of the European Union or United Kingdom, this arbitration clause does not apply to you, and you may bring proceedings in your local courts as required by applicable law. 

Small Claims Exception: Notwithstanding the arbitration clause, either party may bring a claim in a competent small claims court for disputes within its jurisdictional limits.

18. Consumer Rights

Nothing in these Terms affects mandatory consumer rights under local laws in jurisdictions where we offer Services, including the United States, United Kingdom, Canada, or Switzerland. In such cases, these rights shall prevail in the event of conflict. 

19. Updates to Terms

We may revise these Terms at our discretion. If changes are material, we will notify you by email or through the Services. Your continued use after such notice constitutes acceptance.
